These Terms & Conditions (“Terms”) govern access to the Spydeweb website and the purchase or use of services provided by Spydeweb.

By accessing our website, requesting services, entering into an agreement with us, or using our services, you agree to these Terms and any applicable proposal, statement of work, service agreement, order form, or other written agreement entered into between you and Spydeweb.

1. Services

Spydeweb provides technology, automation, development, and marketing services, which may include:

  • AI voice agents;

  • AI-powered chatbots;

  • Business automation;

  • Website design and development;

  • Application design and development;

  • Digital marketing;

  • Advertising and lead-generation systems;

  • CRM and third-party integrations; and

  • Related technology and consulting services.

Specific deliverables, pricing, timelines, usage allowances, responsibilities, and other project requirements may be established in a separate proposal, statement of work, invoice, order form, or service agreement.

2. Client Responsibilities

Clients agree to provide accurate information and timely access to any materials, accounts, credentials, content, approvals, or systems reasonably necessary for Spydeweb to perform the agreed services.

Clients are responsible for ensuring that their business practices and their use of services provided by Spydeweb comply with applicable federal, state, and local laws.

3. AI Voice Agents and Automated Communications

Spydeweb may develop or operate AI-powered voice agents, chatbots, SMS systems, email automations, and other automated communication technology.

Clients are responsible for ensuring that telephone numbers, leads, contact lists, customer information, and other data supplied for use with such systems have been lawfully obtained and may lawfully be contacted or processed for the intended purpose.

Clients are also responsible for obtaining any consent required for automated calls, artificial or prerecorded voice communications, text messages, marketing communications, and call recordings.

Clients agree not to use Spydeweb services to conduct unlawful robocalling, spam, fraudulent communications, deceptive marketing, harassment, or other prohibited activity.

Spydeweb reserves the right to suspend or terminate services that we reasonably believe are being used in violation of applicable law, these Terms, or relevant third-party platform policies.

4. Artificial Intelligence Disclaimer

Artificial intelligence systems are probabilistic and may occasionally generate inaccurate, incomplete, unexpected, or inappropriate responses.

Spydeweb does not warrant that AI-generated content, conversations, recommendations, responses, or actions will always be accurate, error-free, or appropriate for every situation.

Clients are responsible for determining whether human review, supervision, approval, escalation procedures, or additional safeguards are appropriate for their use case.

AI systems provided by Spydeweb should not be relied upon as a substitute for professional legal, medical, financial, emergency, or other regulated professional advice unless specifically designed, reviewed, and authorized for such use.

5. Payments

Clients agree to pay all fees according to the pricing and payment schedule specified in their applicable agreement, invoice, proposal, or order form.

Unless otherwise stated in writing, fees paid for completed work, services already rendered, software usage, advertising expenditures, API usage, telecommunications usage, or third-party expenses are non-refundable to the extent permitted by law.

Late or unpaid invoices may result in suspension or termination of services.

6. Third-Party Costs

Certain services may depend on third-party platforms or involve additional charges, including:

  • Domain registrations;

  • Web hosting;

  • AI/API usage;

  • Telephone minutes;

  • SMS or messaging fees;

  • Email services;

  • Advertising spend;

  • Software subscriptions;

  • Payment-processing fees; and

  • Third-party applications.

Unless expressly included in a written agreement, such charges may be the client's responsibility.

7. Intellectual Property

Spydeweb retains all rights to its pre-existing intellectual property, including proprietary systems, reusable software, source components, frameworks, methodologies, templates, workflows, prompts, automation structures, development tools, processes, and know-how.

Ownership or licensing rights concerning custom websites, applications, designs, code, content, or other deliverables created specifically for a client will be determined by the applicable service agreement or statement of work.

Unless otherwise agreed in writing, transfer of ownership rights in applicable client deliverables is conditioned upon full payment of all amounts due.

8. Client Materials

Clients retain ownership of materials they provide to Spydeweb.

By providing content, trademarks, images, databases, customer information, contact lists, or other materials, the client represents that it has the rights and permissions necessary for Spydeweb to use those materials to provide the requested services.

9. Marketing Results

Spydeweb may provide digital marketing, advertising, search optimization, lead generation, conversion optimization, or related services.

Unless expressly guaranteed in a written agreement, Spydeweb does not guarantee any specific number of leads, customers, sales, revenue, conversions, search-engine rankings, advertising returns, or other business results.

Marketing performance may be affected by market conditions, competition, budgets, customer behavior, third-party platforms, algorithm changes, client operations, and other factors outside Spydeweb's control.

10. Third-Party Platforms

Our services may rely upon third-party providers, including hosting companies, telecommunications carriers, artificial intelligence providers, social media networks, advertising networks, APIs, CRM systems, payment processors, and software platforms.

Spydeweb is not responsible for outages, suspensions, policy changes, account restrictions, API modifications, pricing changes, data loss, discontinued functionality, or other actions taken by third-party providers outside our reasonable control.

11. Confidentiality

Each party may receive confidential or proprietary information belonging to the other party.

Where applicable, each party agrees to use reasonable measures to protect such information and to use it only for legitimate purposes connected with the applicable business relationship, except where disclosure is authorized or legally required.

Additional confidentiality obligations may be established in a separate agreement.

12. Acceptable Use

You may not use Spydeweb's website or services to:

  • Violate applicable law;

  • Commit fraud or impersonate another person or business;

  • Send communications unlawfully;

  • Violate privacy or intellectual-property rights;

  • Introduce malicious software;

  • Attempt unauthorized access to systems;

  • Harass or threaten individuals;

  • Circumvent security measures; or

  • Conduct activities that could expose Spydeweb or its service providers to legal or regulatory liability.

13. Disclaimer of Warranties

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPYDEWEB'S WEBSITE AND SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE.”

EXCEPT FOR WARRANTIES EXPRESSLY PROVIDED IN A WRITTEN AGREEMENT, SPYDEWEB DISCLAIMS WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTY THAT SERVICES WILL BE UNINTERRUPTED, COMPLETELY SECURE, OR ERROR-FREE.

Some jurisdictions do not permit certain warranty exclusions, so some exclusions may not apply to you.

14. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPYDEWEB WILL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, EXEMPLARY, PUNITIVE, OR CONSEQUENTIAL DAMAGES, INCLUDING LOSS OF PROFITS, REVENUE, BUSINESS OPPORTUNITIES, GOODWILL, OR DATA, ARISING FROM OR RELATING TO THE WEBSITE OR SERVICES.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, SPYDEWEB'S AGGREGATE LIABILITY ARISING OUT OF OR RELATING TO THE APPLICABLE SERVICES WILL NOT EXCEED THE AMOUNT PAID BY THE CLIENT TO SPYDEWEB FOR THE SERVICES GIVING RISE TO THE CLAIM DURING THE [THREE/SIX/TWELVE] MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM.

The limitations above apply only to the extent permitted by applicable law.

15. Indemnification

To the extent permitted by applicable law, clients agree to defend, indemnify, and hold harmless Spydeweb and its owners, employees, contractors, and affiliates from third-party claims, damages, liabilities, penalties, and reasonable expenses arising from the client's unlawful use of the services, client-provided materials, violation of applicable law, or violation of these Terms.

16. Suspension and Termination

Spydeweb may suspend or terminate access to services for material breach of these Terms or an applicable service agreement, nonpayment, fraudulent activity, unlawful activity, security risks, abuse of services, or conduct that creates material legal or operational risk.

Specific cancellation requirements, notice periods, and termination fees may be established in individual service agreements.

17. Governing Law

These Terms shall be governed by and interpreted according to the laws of the State of [STATE], without regard to its conflict-of-law principles.

Any disputes will be resolved in the courts located in [COUNTY, STATE], unless the parties have entered into a separate agreement requiring arbitration or another dispute-resolution procedure.
